ACAC – Comprehensive Updates on Tax and Legal Policies in July 2025

July 2025 marks a peak period as a series of important legal documents come into effect, ranging from the amended Enterprise Law, the new Excise Tax Law, to new regulations on e-transactions, digital identification, and cross-border commerce.

1. Value Added Tax (VAT): Non-cash payment required for transactions from VND 5 million

According to Decree 181/2025/NĐ-CP (effective from 01/07/2025), all invoices valued at from VND 5 million (including VAT) must have non-cash payment evidence for VAT deduction.
Valid payment documents include bank transfers or electronic payments in accordance with Decree 52/2024/NĐ-CP; cash deposits into the seller’s account are not accepted.
This regulation aims to tighten invoice management, prevent fraudulent VAT deductions and refunds, and promote a cashless digital economy.

2. Corporate Income Tax: Amended Enterprise Law 2025 officially in effect

From 01/07/2025, Law No. 76/2025/QH15 amending the Enterprise Law 2020 comes into effect, introducing several notable changes:

  • Expansion of cases where individuals are prohibited from establishing or managing enterprises, including state employees, public officials, and officers in the armed forces.
  • Requirement to submit a Judicial Record Certificate when registering a new enterprise if requested by the business registration authority.
  • Stricter legal responsibilities for leaders of state-owned enterprises, while encouraging the private sector to participate in technology and innovation fields.

These changes lay the foundation for a more transparent, equitable, and sustainable business environment, and support enterprises in adhering to modern governance practices.

3. Personal Income Tax: Clarification on real estate transfer regulations

According to Official Letter 2649/CT-CS (dated 24/07/2025), PIT on income from land use rights transfers is calculated based on the land price listed in the provincial land price table or the actual transfer price stated in the contract.
The tax base continues to follow the Personal Income Tax Law 2007, amended by Law No. 71/2014/QH13, ensuring consistency in tax obligations.
Clearer guidance helps reduce discrepancies in declared prices and improve transparency in real estate transactions.

4. Insurance & Labor Policies: Expanded eligibility for compulsory social insurance

According to Decree 158/2025/NĐ-CP (effective from 01/07/2025), household business owners with registered business licenses are required to participate in compulsory social insurance, along with part-time workers and probationary employees who meet minimum income thresholds.
This policy supports the goal of universal social security coverage by 2030 and protects long-term worker rights in the informal economy.

Meanwhile, six unemployment insurance procedures will be provided online via the National Public Service Portal (dichvucong.gov.vn) starting 21/07/2025, reducing processing time and enhancing transparency.

5. Other Taxes: From amendments to 11 Circulars to the new Excise Tax Law

The Ministry of Finance introduces a series of major changes:

  • Amendments to 11 Circulars related to tax administration (including Circulars 80/2021/TT-BTC, 40/2021/TT-BTC, 86/2024/TT-BTC…).
  • Excise Tax Law 2025 (Law No. 66/2025/QH15) effective from 01/01/2026, expanding the taxable scope to include sugary drinks above 5g/100ml, high-capacity air conditioners, joss paper, and premium entertainment services such as karaoke, casinos, betting, golf, and lotteries.

In addition, Decree 199/2025/NĐ-CP (08/07/2025) adjusts preferential import tax rates for strategic goods (steel, polyethylene, green vehicles…), encouraging clean industry development and renewable energy investment.

6. Other Matters: Accelerating digital transformation in public administration

The Government instructs local authorities to synchronously deploy Project 06 and the National Data Center, enabling citizens and businesses to conduct insurance, labor, and tax procedures online.
This is a significant step towards digital government – digital enterprises – digital citizens, reducing administrative burdens, improving the PCI index, and lowering compliance costs.
